Terms of Business for Estate Agents

These Terms of Business (“Terms”) set out the agreement between SeedPath AI Ltd (“SeedPath”, “we”, “us”, “our”) and the subscribing Estate Agent or Partner (“you”, “your”) for the use of our customer engagement and automation services.

By using SeedPath AI, you agree to these Terms.

1. Parties and Purpose

SeedPath AI Ltd provides a hosted software service (“the Service”) which automates and manages engagement with property applicants and vendors, prospecting for financial services, valuations, conveyancing, and related opportunities on behalf of estate agents.

The Service includes integrations for messaging, scheduling, data processing, and reporting.

2. Roles and Responsibilities

2.1 Estate Agent (You)


You are the Data Controller for all customer data you upload or share with SeedPath.
You are responsible for:

  • Ensuring that your customers have been informed about, and have consented to, the use of their data in line with applicable law.

  • Maintaining accurate and lawful records of personal data in your CRM.

  • Acting in compliance with the UK GDPR, Data Protection Act 2018, and all relevant industry regulations.

 

2.2 SeedPath AI (Us)


We act as a Data Processor, handling your customer data solely to deliver the agreed Service.
We do not use, sell, or share your customer data for unrelated purposes.
We maintain robust technical and organisational measures to keep all data secure and compliant.
Where SeedPath connects to regulated financial services (such as Finamply Mortgages Ltd), those partners act as independent Data Controllers for their respective activities.

3. Service Description

SeedPath provides a managed SaaS platform that includes:

  • AI-driven customer conversation management via SMS or chat.

  • Automated identification of service opportunities (mortgage, valuation, viewing, conveyancing).

  • Appointment scheduling with third-party systems such as Acuity and ResponseIQ.

  • Hand-offs to in-house or partner teams via Microsoft Teams or email.

  • Reporting and analytics, including sentiment and engagement data.

  • Secure data storage and pseudonymised AI model training.

 

The Service is accessible via web dashboard and/or CRM integration.

4. Fees and Referral Arrangements

4.1 Software Fees


SeedPath may charge a monthly licence or usage fee as agreed in your Service Order or subscription plan.


4.2 Referral Income


Where customers complete a mortgage, insurance, or conveyancing transaction introduced via the SeedPath system:

  • Referral fees will be paid by the relevant partner (e.g. Finamply Mortgages Ltd) in accordance with agreed schedules.

  • You will receive monthly remittance and summary statements showing completed referrals.

  • Referral fees are payable only for qualified and completed cases as confirmed by the partner.

5. Term and Termination

5.1 Term


The agreement starts on the activation date of your SeedPath account and continues month-to-month unless terminated by either party with 30 days’ written notice.


5.2 Termination for Cause


Either party may terminate immediately if the other:

  • Materially breaches these Terms and fails to remedy within 14 days of notice.

  • Enters insolvency, administration, or liquidation.

  • Breaches data-protection or confidentiality obligations.

 

5.3 Data Handling on Termination


Upon termination, we will:

 

  • Deactivate your account.

  • Return or delete personal data within 30 days (subject to lawful retention requirements).

  • Retain only pseudonymised data used for system learning and performance metrics.

6. Data Protection & Privacy

Both parties agree to comply with all applicable data-protection laws.

Key points:

​

  • You remain the Data Controller; SeedPath acts as Data Processor.

  • Processing is governed by our [Data Processing Agreement] (incorporated by reference).

  • Data is hosted within the EU on AWS servers (AES-256 encryption at rest, TLS 1.2+ in transit).

  • Structured CRM data is stored in Pipedrive (ISO 27001 certified).

  • Twilio is used for messaging and ResponseIQ for instant calls, both under GDPR-compliant SCCs.

  • Access is restricted to authorised personnel under confidentiality agreements.

7. Security

SeedPath maintains industry-standard security controls including:

  • Encryption, MFA, role-based access, and logging.

  • Regular security audits and vulnerability testing.

  • Continuous monitoring of service performance and fraud prevention (currently scoring 15/15 Excellent).

  • If a data breach occurs, SeedPath will:

  • Notify you promptly (within 48 hours of confirmation).

  • Provide full details and cooperate with investigations.

8. Compliance and Customer Communication

  • All outbound messages comply with GDPR, PECR, and FCA conditional selling rules.

  • Customers can opt out at any time by replying “STOP”.

  • Negative sentiment or complaints detected by AI are automatically escalated to a human reviewer.

  • All customer data and communications remain the property of the originating estate agent.

9. Intellectual Property

SeedPath AI retains all intellectual property rights in:

  • Its platform, algorithms, and AI models.

  • Any derivative learnings or improvements created through pseudonymised data.

 

You retain ownership of your customer data and trademarks.
SeedPath grants you a non-exclusive, non-transferable licence to use the Service during your subscription.

10. Service Availability

SeedPath aims for 99.9% uptime excluding planned maintenance.


We monitor system performance continuously, with current benchmarks:

 

  • Latency: 15/15 (Excellent)

  • Message Delivery Rate: 23/25 (Good)

  • Engagement: 14/15 (Good)

 

SeedPath is not responsible for interruptions caused by third-party networks (e.g., mobile carriers, Twilio, Microsoft).

11. Liability

  • SeedPath’s total liability under this agreement (except for death, personal injury, or fraud) is limited to the total fees paid in the 12 months preceding the claim.

  • We are not liable for indirect or consequential losses, including lost profit, revenue, or goodwill.

12. Confidentiality

Both parties agree to keep all proprietary and customer information confidential and use it only for the purpose of this agreement.


This obligation survives termination.

13. Marketing

SeedPath may reference your agency as a client (name and logo) in marketing materials unless you object in writing.


No confidential data will ever be disclosed without consent.

14. Governing Law and Jurisdiction

This agreement is governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
